1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the PDFQR website, application, and related services (“PDFQR,” “we,” “us,” or “our”). By accessing or using PDFQR, you agree to comply with and be bound by these Terms. If you do not agree, you may not use the service.
PDFQR provides tools for uploading and hosting PDF documents, generating QR codes, customizing viewing pages, and accessing analytics related to QR code activity. These Terms apply to all users of the service, including individuals, businesses, organizations, and authorized agents acting on their behalf.
2. Eligibility and Account Registration
To use PDFQR, you must be at least 18 years old and capable of entering into a legally binding agreement. By creating an account, you agree to provide accurate, complete information and to maintain the security of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must not share your password or allow unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Description of Services
PDFQR provides a subscription-based platform that allows users to:
- Upload and store PDF files (up to 100MB per file).
- Create QR codes linking to individual PDF files or PDF lists.
- Customize the appearance of QR code landing pages.
- Download custom QR codes for printing and distribution.
- Access analytics such as scan counts, device type, location, and operating system.
- Manage and edit previously uploaded documents and QR code settings.
We may add, remove, or modify features from time to time to improve the service.
4. Subscription, Billing, and Payments
PDFQR operates on a monthly subscription model. By subscribing, you authorize PDFQR to charge your selected payment method the recurring monthly fee of $12 USD (or the equivalent in your local currency), unless otherwise specified.
- Subscriptions renew automatically each month until canceled.
- You may cancel at any time, and your subscription will remain active until the end of the billing period.
- All payments are processed securely through third-party payment providers.
- Fees are non-refundable unless required by law.
We reserve the right to change our pricing, but any changes will be communicated in advance.
5. Acceptable Use
You agree to use PDFQR only for lawful purposes and in accordance with these Terms. You may not use the service in any manner that could disrupt, damage, or impair the platform or interfere with other users' access to the service.
You agree not to engage in any of the following prohibited activities:
- Uploading or distributing unlawful, harmful, defamatory, obscene, or abusive content.
- Uploading copyrighted or proprietary materials without authorization.
- Attempting to reverse-engineer, decompile, or access restricted areas of the platform.
- Using automated scripts, bots, or scraping tools without written permission.
- Attempting to compromise security, test vulnerabilities, or bypass access controls.
- Using the service for fraudulent activities, spam distribution, or phishing.
- Interfering with the integrity or performance of the platform.
We reserve the right to suspend or terminate accounts engaged in prohibited activities and to remove content that violates these Terms or applicable laws.
6. User Content and File Uploads
By uploading PDF files or other content (“User Content”) to PDFQR, you grant us the limited rights necessary to operate the service, including the ability to store, display, and deliver your content to users who scan your QR codes or access your shared links.
You are solely responsible for ensuring that:
- You own or have permission to upload the content.
- Your uploads do not infringe on any intellectual property rights.
- Your content complies with all applicable laws and regulations.
- Your documents do not contain malicious code, malware, or harmful scripts.
PDFQR does not claim ownership of your uploaded content. However, we reserve the right to remove or restrict content that violates these Terms, poses security risks, or is deemed inappropriate.
You acknowledge that deleting your account or specific uploads will remove access to the associated QR codes and shared links.
7. Intellectual Property
All intellectual property rights in PDFQR — including the platform design, software, codebase, user interface, branding, and related assets — are owned by PDFQR and protected under applicable copyright, trademark, and intellectual property laws.
You agree not to:
- Copy, modify, or redistribute the platform’s code or design.
- Use our trademarks, branding, or logos without written permission.
- Create derivative works from the service or its components.
- Reproduce or resell access to the platform.
All rights not expressly granted to you in these Terms are reserved by PDFQR.
8. License to Use the Service
Subject to your compliance with these Terms, PDFQR grants you a limited, non-exclusive, revocable, non-transferable license to access and use the service for your personal or business needs.
This license does not permit you to:
- Distribute the service or grant access to others outside your organization.
- Use PDFQR for any purpose that competes with our business.
- Attempt to circumvent features, limits, or security measures.
We may terminate this license at any time if you violate these Terms or misuse the platform.
9. Service Availability and Modifications
PDFQR strives to maintain reliable access to the platform; however, we do not guarantee uninterrupted availability. The service may be temporarily unavailable due to maintenance, updates, system failures, or circumstances beyond our control.
We reserve the right to modify, update, suspend, or discontinue any part of the service at our discretion. If a material change affects your use of the platform, we will make reasonable efforts to notify you in advance, unless doing so is impractical or prohibited by law.
PDFQR is not liable for any loss or damage resulting from service interruptions or changes.
10. Third-Party Services
PDFQR may integrate or rely on third-party services such as hosting providers, analytics tools, and payment processors. These third parties may collect or process certain information in accordance with their own privacy policies and terms.
We are not responsible for the content, actions, availability, or performance of third-party services. Use of third-party tools or integrations is at your own risk.
When accessing or interacting with third-party services through PDFQR, you agree to comply with any applicable third-party terms.
11. Termination
You may cancel your subscription at any time through your account settings. Your account will remain active until the end of the current billing cycle, after which access to paid features will cease.
PDFQR may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or engage in prohibited activities.
- Your payment fails or cannot be processed.
- Your actions create security risks, legal liabilities, or disrupt the service.
Upon termination, your access to uploaded content, analytics, and QR code functionality may be permanently deleted. We recommend downloading any needed data before canceling or closing your account.
12. Disclaimer of Warranties
PDFQR is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:
- Warranties of merchantability.
- Fitness for a particular purpose.
- Non-infringement.
- Accuracy, reliability, or completeness of the service.
We do not guarantee that the service will be uninterrupted, error-free, secure, or free of harmful components. You assume full responsibility for your use of the platform.
13. Limitation of Liability
To the maximum extent permitted by law, PDFQR and its affiliates, directors, employees, and service providers are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits or revenue.
- Loss of data, files, or content.
- Business interruption.
- Damage resulting from unauthorized access or use of your account.
- Service outages or system failures.
In no event shall our total liability exceed the amount you paid to PDFQR in the twelve (12) months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless PDFQR, its affiliates, employees, contractors, and partners from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Your uploaded content, including any infringement of third-party rights.
PDFQR reserves the right to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully in such cases.
15. Governing Law
These Terms are governed by and interpreted in accordance with the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any legal proceedings shall take place in the courts located in Toronto, Ontario.
If you access PDFQR from outside Canada, you are responsible for compliance with your local laws to the extent they apply.
16. Dispute Resolution
Before initiating formal legal action, you agree to attempt to resolve disputes with PDFQR informally by contacting support@pdfqr.io. We will attempt to resolve disputes in good faith within a reasonable timeframe.
If informal resolution fails, disputes will be resolved exclusively through binding arbitration or in the courts of Toronto, Ontario, unless prohibited by applicable law.
Nothing in this section prevents either party from seeking injunctive or equitable relief when necessary to protect intellectual property rights or prevent unauthorized access to the service.
17. Changes to These Terms
PDFQR may update or modify these Terms at any time to reflect changes in the law, improvements to the service, or operational requirements. When changes are made, we will update the “Last Updated” date at the top of the page.
Continued use of the service after Terms are updated constitutes acceptance of the revised Terms. If you do not agree with the changes, you must discontinue using the service.
